Splitting off a distinct business unit


Challenge

Three founders had built a business housing multiple service lines — one of which had effectively become a separate product. One founder wanted to take that product forward independently, while the others were more focused on the core agency.

Andy’s Intervention

Andy worked with all three founders to clarify what each wanted and explore ways to structure a separation that would preserve goodwill and shared interest. He helped design a structure that split the business without dismantling it — using smart share classes and buyback mechanisms to allow each side to benefit from future success.

Impact

The product was successfully spun out into its own business. The founders maintained a shared interest in both entities but were now able to focus their energy where it mattered most. The split unlocked growth and focus across the board.
